Terms of Service

1. Agreement to Terms

By accessing seeAI's website or using our automation services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity.

2. Description of Services

seeAI provides custom business process automation services. This includes:

  • Analysis and mapping of manual business processes
  • Design, development, and deployment of automation solutions
  • Hosting and running automations on seeAI-managed infrastructure
  • Ongoing monitoring and maintenance of deployed automations

The specific scope, deliverables, and timelines for each engagement will be defined in a separate Statement of Work ("SOW") or service agreement signed by both parties.

3. Free Automation Offer

seeAI may offer a complimentary first automation to prospective clients. This free engagement:

  • Is limited to one automation per company
  • Includes a reasonable scope as determined by seeAI
  • Comes with no warranty or service level agreement
  • Does not obligate either party to enter into a paid engagement
  • May be discontinued at seeAI's discretion at any time

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for the automation
  • Ensure you have the legal right and necessary permissions to share any data you provide
  • Maintain all required licenses, permissions, and access credentials for systems involved
  • Review and test automations before relying on them for critical business decisions
  • Notify seeAI promptly of any security concerns or data breaches related to the Services

5. Intellectual Property

  • Your Data: You retain all ownership of data you provide to seeAI. We do not claim any rights to your business data.
  • Our Tools: seeAI retains ownership of its automation frameworks, libraries, tools, and methodologies. These are not transferred to you.
  • Custom Automations: Unless otherwise agreed in a SOW, seeAI grants you a non-exclusive license to use the specific automation built for your engagement, for your internal business purposes only.

6. Data Handling and Security

seeAI processes your data solely for the purpose of providing the Services. We implement reasonable technical and organizational measures to protect your data. For full details on data handling, please see our Privacy Policy.

Where required (e.g., under GDPR), seeAI will enter into a Data Processing Agreement ("DPA") with you before processing personal data on your behalf.

7. Limitation of Liability

To the maximum extent permitted by law:

  • seeAI's total liability for any claim arising from the Services is limited to the total fees paid by you in the 12 months preceding the claim (or zero for free engagements)
  • seeAI is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption
  • seeAI does not warrant that automation outputs are error-free. Automations are tools to assist your business — they do not replace human judgment for critical decisions
  • seeAI is not liable for damages resulting from your reliance on automation outputs without appropriate verification

8. Availability and Uptime

seeAI will make reasonable efforts to keep automations running reliably. However, we do not guarantee uninterrupted service. Planned maintenance, infrastructure changes, and third-party system outages may temporarily affect availability. Specific uptime commitments, if any, will be defined in individual SOWs.

9. Termination

  • Either party may terminate the engagement with 30 days' written notice (unless otherwise specified in a SOW)
  • Upon termination, seeAI will: (a) stop running your automations, (b) return any of your data in a standard format upon request, and (c) delete your data from our systems within 90 days
  • seeAI may immediately suspend or terminate Services if you breach these Terms or if continuing the Services would expose seeAI to legal liability

10. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination for a period of 2 years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Third-Party Services

Our automations may interact with third-party services (email providers, cloud storage, APIs, etc.). seeAI is not responsible for the availability, accuracy, or terms of those third-party services. Your use of such services is subject to their respective terms.

12. Modifications to Terms

seeAI may update these Terms from time to time. Material changes will be communicated via email or through our website. Continued use of the Services after changes constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of [YOUR JURISDICTION — e.g., England and Wales, State of Delaware, etc.]. Any disputes arising from these Terms or the Services will first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes will be settled through binding arbitration under [ARBITRATION BODY] rules.
